At Tuliba Clusiana, every floral creation is thoughtfully handcrafted using premium flowers, luxury materials, and exceptional floral artistry. As flowers are natural, seasonal, and perishable products, occasional substitutions may be necessary to ensure that every Order meets our uncompromising standards of freshness, elegance, quality, and timely delivery.
Our goal is never simply to replace unavailable items. Instead, every substitution is carefully considered to preserve the artistic identity, luxury presentation, emotional meaning, and overall value of the original Product.
This Substitution Policy explains when substitutions may occur, how substitute items are selected, and the principles that guide every decision made by Tuliba Clusiana.
By placing an Order through our Website or any authorized sales channel, you acknowledge that you have read, understood, and agreed to this Substitution Policy.
1. Definitions
For the purposes of this Policy: “Company”, “Tuliba Clusiana”, “we”, “our”, or “us” means Tuliba Clusiana and its authorized representatives. “Customer” means any individual or legal entity purchasing Products from Tuliba Clusiana. “Recipient” means the individual designated to receive the Product. “Order” means any confirmed purchase submitted through the Website or any authorized sales channel. “Product” means any bouquet, flower arrangement, flower box, preserved flower design, artificial flower arrangement, plant, luxury gift, decorative accessory, packaging, or any other item offered by Tuliba Clusiana. “Substitution” means the replacement of one or more flowers, botanical materials, colors, containers, packaging, accessories, decorative elements, gifts, or other Product components with comparable or superior alternatives.2. Scope
This Policy applies to every Product and every Order placed through the Tuliba Clusiana Website or any authorized sales channel. Our Luxury Commitment
Tuliba Clusiana is committed to delivering floral creations that reflect exceptional craftsmanship, premium quality, artistic excellence, and luxury presentation. Whenever substitutions become necessary, our priority is to preserve: – the beauty of the arrangement; – the intended emotional message; – the luxury appearance; – the artistic composition; – the freshness of the flowers; – the perceived value; – the retail value; and – the overall customer experience. Every substitution decision is made with these objectives in mind.4. Luxury Brand Standards
Every substitution performed by Tuliba Clusiana shall comply with the Company’s internal luxury quality standards. No substitute item shall be intentionally selected if it would materially diminish the premium image, craftsmanship, elegance, or reputation associated with the Tuliba Clusiana brand. Our Customers purchase not only flowers, but also the luxury experience represented by our brand. Every substitute item must therefore meet the same high standards expected of our original Products.5. Premium Supplier Standards
Tuliba Clusiana carefully selects its suppliers based upon strict quality criteria. Whenever substitutions are required, replacement flowers, containers, accessories, gifts, packaging materials, or decorative elements shall, whenever reasonably practicable, be sourced from: – approved suppliers; – trusted premium wholesalers; – qualified growers; or – suppliers maintaining quality standards comparable to those ordinarily used by Tuliba Clusiana. The Company shall not knowingly substitute premium materials with products that fail to satisfy its internal quality requirements.6. Why Substitutions May Be Necessary
Flowers and botanical materials are natural products whose availability may change unexpectedly. Substitutions may become necessary due to circumstances including, but not limited to: – seasonal availability; – agricultural conditions; – weather events; – supplier shortages; – transportation disruptions; – customs delays; – import restrictions; – quality control decisions; – flower freshness; – inventory shortages; – governmental actions; – public emergencies; – Force Majeure events; or – any other circumstance beyond Tuliba Clusiana’s reasonable control. Whenever substitutions are necessary, Tuliba Clusiana will make commercially reasonable efforts to preserve the original design and overall luxury experience.7. Circumstances Requiring Substitution
Tuliba Clusiana may substitute one or more components of a Product whenever the Company reasonably determines that such substitution is necessary to maintain: – freshness; – premium quality; – structural integrity; – artistic balance; – timely delivery; – luxury presentation; or – customer satisfaction. The decision to substitute shall always be exercised in good faith and in accordance with this Policy.8. Substitution Priority Framework
Whenever substitutions are required, Tuliba Clusiana will, where reasonably practicable, select replacements according to the following order of priority: 1. The identical flower or Product component. 2. The same flower variety from another approved supplier. 3. A flower of similar species, appearance, and quality. 4. A flower with a similar color palette. 5. A flower providing comparable visual impact and artistic balance. 6. A flower or material of equal or greater retail value. 7. A premium upgrade where appropriate. Not every level of this priority framework will be available in every circumstance, and Tuliba Clusiana reserves the right to exercise professional judgment in selecting the most appropriate substitute.9. Seasonal Flowers
Many flower varieties are naturally available only during specific growing seasons. Where seasonal flowers become unavailable, Tuliba Clusiana may substitute them with flowers of comparable or superior: – quality; – elegance; – freshness; – size; – visual impact; – texture; – artistic suitability; and – market value. Seasonal substitutions are considered a normal part of the floral industry and do not constitute defects or non-conforming Products.10. Rare Flowers
Certain premium flower varieties are naturally rare, highly seasonal, imported in limited quantities, or subject to unpredictable market availability. These may include, without limitation:
– Peonies
– Ranunculus
– Garden Roses
– Cymbidium Orchids
– Phalaenopsis Orchids
– Hydrangeas
– Anemones
– Tulips outside their natural season and
– other specialty or luxury blooms.
Where such flowers become unavailable or fail to satisfy Tuliba Clusiana’s quality standards, the Company may substitute them with premium flowers of comparable elegance, artistic value, visual impact, and market value.
The temporary unavailability of rare flowers shall not constitute a breach of contract or product defect.
11. Imported Flowers
Tuliba Clusiana sources premium flowers from both local and international suppliers.
Imported flowers may become unavailable due to circumstances including:
– customs inspections
– import restrictions
– transportation delays
– airline disruptions
– supplier shortages
– agricultural conditions
– governmental regulations or
– other events beyond our reasonable control.
Where imported flowers cannot reasonably be obtained, Tuliba Clusiana may replace them with premium imported alternatives or carefully selected locally sourced flowers that satisfy our internal luxury standards.
12. Fresh Flower Availability
Freshness takes precedence over exact flower matching.
Tuliba Clusiana reserves the right to substitute any flower that no longer meets its quality standards, even where that flower remains technically available.
Our floral designers prioritize delivering flowers at their optimal freshness rather than supplying flowers that have deteriorated simply to replicate a photograph or product description.
Customers acknowledge that freshness is an essential component of the luxury experience offered by Tuliba Clusiana.
13. Customer-Selected Exact Flowers
Where a Customer specifically selects a particular flower variety identified by name within a Product description or through a custom Order, Tuliba Clusiana will make commercially reasonable efforts to provide that exact variety.
If the specified flower becomes unavailable or unsuitable for use, Tuliba Clusiana will first seek the closest available substitute within the same flower family or category before considering alternative flower varieties.
Where no comparable substitute exists, Tuliba Clusiana may select another premium flower that preserves the overall luxury appearance, artistic concept, and value of the Product.
The inability to supply a specifically requested flower due to legitimate availability or quality concerns shall not, by itself, constitute grounds for cancellation, refund, replacement, or compensation.
14. Floral Count Protection
Where a Product description specifies an exact quantity of flowers, Tuliba Clusiana will make commercially reasonable efforts to preserve that quantity.
Where maintaining the exact quantity is not reasonably practicable due to availability or quality considerations, Tuliba Clusiana may substitute flowers in a manner that maintains or exceeds the overall:
– retail value
– perceived luxury
– visual fullness
– artistic balance and
– customer experience.
The Company will not intentionally reduce the overall value of a Product solely because substitutions are required.
15. Botanical Natural Variations
Flowers are natural botanical products.
Accordingly, Customers acknowledge that variations may naturally occur in:
– bloom size
– stem length
– petal count
– fragrance
– texture
– color tone
– maturity
– blooming stage
– foliage density
– natural markings and
– overall botanical characteristics.
Such natural variations are inherent characteristics of fresh flowers and shall not constitute defects, inaccuracies, or non-conforming Products.
16. Color Harmony Commitment
Where substitutions involve flower colors or decorative elements, Tuliba Clusiana will make commercially reasonable efforts to preserve the original color palette, visual harmony, and artistic style of the arrangement.
Exact color matching cannot always be guaranteed due to the natural characteristics of flowers and market availability.
Minor differences in shades or tones shall not constitute a material alteration of the Product where the overall aesthetic presentation remains substantially consistent with the intended design.
17. Variety Substitutions
Where a particular flower variety becomes unavailable or unsuitable for use, Tuliba Clusiana may substitute it with another flower variety of comparable or superior:
– quality
– durability
– elegance
– appearance
– artistic suitability
– freshness and
– market value.
The objective of every substitution is to preserve the overall artistic composition rather than reproduce every individual botanical element exactly.
18. Luxury Value Preservation
Whenever substitutions occur, Tuliba Clusiana will make commercially reasonable efforts to preserve the overall luxury value of the Product.
For purposes of this Policy, “comparable value” shall be determined based upon the prevailing market value of flowers and materials at the time the Order is prepared, rather than at the time the Customer originally placed the Order.
Where appropriate, Tuliba Clusiana may provide substitute components whose market value exceeds that of the unavailable item without charging any additional amount to the Customer.
19. Design Integrity
Substitutions shall always seek to preserve the artistic identity, emotional purpose, and overall visual impact of the original Product.
While individual flowers, decorative materials, containers, or accessories may differ from those illustrated in photographs or descriptions, the completed arrangement shall continue to reflect the intended design concept and luxury presentation created by Tuliba Clusiana.
Minor artistic differences resulting from professional floral design or approved substitutions shall not constitute defects, misrepresentation, or non-conformity.
20. Brand Signature Style
Every floral arrangement created by Tuliba Clusiana reflects the Company’s distinctive artistic identity and luxury brand philosophy.
Whenever substitutions are required, Tuliba Clusiana shall make commercially reasonable efforts to ensure that the completed Product continues to embody the Company’s signature style, including its refined floral compositions, premium presentation, balanced proportions, sophisticated color palettes, and elegant finishing details.
Substitutions shall never be selected solely on the basis of availability where doing so would materially compromise the recognizable luxury aesthetic associated with the Tuliba Clusiana brand.
21. Signature Collections
Certain Products are offered as part of exclusive or signature collections, including seasonal collections, limited editions, designer collections, or specially curated floral concepts.
Where substitutions become necessary within such collections, Tuliba Clusiana shall preserve, to the greatest extent reasonably practicable:
– the overall design language;
– the intended luxury experience;
– the emotional theme;
– the premium positioning of the collection; and
– the artistic identity of the Product.
Substitutions shall not intentionally alter the defining characteristics that distinguish a signature collection from other Products.
22. Packaging Substitutions
Premium wrapping materials, luxury papers, tissue paper, protective materials, decorative sleeves, floral wrapping, and presentation packaging may occasionally require substitution due to supplier availability or operational circumstances.
Where substitutions occur, Tuliba Clusiana shall provide packaging of comparable or superior:
– quality;
– durability;
– appearance;
– finish;
– functionality; and
– luxury presentation.
Minor differences in packaging materials shall not constitute a material alteration of the Product where the overall presentation remains consistent with Tuliba Clusiana’s luxury standards.
23. Imported Luxury Boxes & Containers
Certain flower boxes, hat boxes, premium gift boxes, imported containers, designer packaging, ceramic vessels, glass containers, acrylic presentation boxes, and other luxury packaging materials may occasionally become unavailable.
Where such items cannot reasonably be sourced, Tuliba Clusiana may substitute them with containers of comparable or superior:
– craftsmanship;
– materials;
– durability;
– visual elegance;
– functionality; and
– retail value.
The substitute container shall complement the overall floral arrangement and maintain the premium experience intended for the Customer and Recipient.
24. Vase & Container Substitutions
Where a vase, ceramic pot, decorative vessel, basket, planter, or similar presentation container becomes unavailable, Tuliba Clusiana may replace it with another container that is substantially comparable or superior in terms of:
– quality;
– dimensions;
– stability;
– aesthetic appeal;
– functionality; and
– market value.
Such substitutions shall be made in a manner that preserves the visual harmony and intended presentation of the Product.
25. Ribbon & Accessories
Decorative ribbons, bows, cords, tags, ornaments, charms, gift decorations, branded accessories, and finishing details may vary depending upon availability.
Where substitutions become necessary, Tuliba Clusiana shall select alternatives that preserve the Product’s premium appearance, elegance, and overall design concept.
Minor differences in ribbon styles, decorative accessories, or finishing materials shall not constitute defects or material alterations.
26. Decorative Elements
Decorative foliage, greenery, filler flowers, dried botanical elements, floral foam, wrapping accents, decorative branches, and similar supporting materials may be substituted where necessary.
Such substitutions shall preserve the arrangement’s:
– balance;
– proportion;
– texture;
– visual depth;
– elegance; and
– artistic integrity.
Decorative substitutions shall remain complementary to the primary floral composition.
27. Preserved Flowers
Preserved flowers are natural botanical products that have undergone specialized preservation processes.
Due to their natural characteristics, preserved flowers may vary in:
– color intensity;
– texture;
– bloom size;
– preservation appearance;
– flexibility; and
– botanical characteristics.
Where necessary, Tuliba Clusiana may substitute preserved flowers with comparable preserved floral varieties that maintain the Product’s intended design, quality, and luxury presentation.
28. Artificial Flowers & Plants
Where artificial flowers, artificial plants, or botanical replicas form part of a Product, Tuliba Clusiana may substitute them with comparable or superior alternatives that maintain the Product’s intended:
– realism;
– craftsmanship;
– durability;
– premium appearance;
– aesthetic quality; and
– market value.
Tuliba Clusiana shall not knowingly replace premium artificial botanical materials with products that materially diminish the quality or luxury appearance of the arrangement.
29. Live Plants
Where a Product includes live plants, potted plants, orchids, bonsai, succulents, indoor plants, or other living botanical products, substitutions may become necessary due to seasonal availability, plant health, supplier limitations, or quality considerations.
Where substitutions occur, Tuliba Clusiana shall provide live plants that are comparable or superior in terms of:
– species suitability;
– maturity;
– health;
– decorative appeal;
– longevity; and
– overall retail value.
Natural differences in growth patterns, foliage density, bloom development, height, or botanical appearance are normal characteristics of live plants and shall not constitute defects.
30. Gift Add-ons
Certain Products may include optional gift add-ons such as: – premium chocolates; – gourmet confectionery; – scented candles; – perfumes; – greeting cards; – balloons; – teddy bears; – keepsakes; – gift baskets; or – other complementary items. Where an add-on becomes unavailable due to supplier shortages, inventory limitations, seasonal availability, or other operational circumstances, Tuliba Clusiana may substitute it with an item of comparable or superior quality, functionality, presentation, and retail value. Where the unavailable add-on forms a significant or essential element of the Customer’s purchase, Tuliba Clusiana may, where reasonably practicable, contact the Customer to discuss available alternatives before completing the Order.31. Luxury Gifts
Luxury gifts, imported products, designer accessories, branded merchandise, limited-edition items, and premium lifestyle products may occasionally become unavailable due to circumstances beyond Tuliba Clusiana’s reasonable control. Where substitutions become necessary, the Company shall use commercially reasonable efforts to provide replacement items that preserve the Product’s: – luxury positioning; – intended purpose; – perceived exclusivity; – aesthetic appeal; – premium quality; and – market value. Tuliba Clusiana shall not intentionally replace a luxury gift with a product of materially lower quality or significantly diminished value.32. Sustainability & Responsible Sourcing
Tuliba Clusiana is committed to responsible sourcing and environmentally conscious business practices wherever reasonably practicable. When selecting substitute flowers or botanical materials, the Company may consider factors including: – freshness; – responsible sourcing practices; – seasonal availability; – transportation efficiency; – reduction of unnecessary floral waste; – product longevity; and – environmental sustainability. Where a locally sourced flower satisfies the Company’s luxury quality standards and provides comparable artistic value, Tuliba Clusiana may prefer such flowers over imported alternatives where appropriate. Nothing in this section obligates Tuliba Clusiana to prioritize sustainability over product quality, luxury presentation, or Customer expectations.33. Florist Artistic Freedom
Every floral arrangement produced by Tuliba Clusiana is individually handcrafted by experienced floral designers. Customers acknowledge that floral design is both a professional skill and an artistic discipline requiring creative judgment. Accordingly, Tuliba Clusiana’s florists are authorized to exercise reasonable artistic and professional discretion when selecting substitute flowers, colors, foliage, decorative elements, containers, packaging, or accessories. Such discretion shall always be exercised with the objective of preserving: – artistic excellence; – visual harmony; – emotional expression; – luxury presentation; – structural integrity; – freshness; and – Customer satisfaction. Minor artistic differences resulting from professional floral judgment shall not constitute defects or non-conforming Products.34. Customer Requests
Customers may request specific flowers, colors, packaging materials, containers, accessories, or indicate that they prefer no substitutions. Tuliba Clusiana will make commercially reasonable efforts to accommodate such requests. However, fulfillment of special requests remains subject to: – flower availability; – supplier availability; – production schedules; – quality standards; – delivery commitments; and – operational feasibility. Where a Customer requests that absolutely no substitutions be permitted and the requested Product cannot reasonably be fulfilled, Tuliba Clusiana may, at its sole discretion: – contact the Customer to discuss alternatives; – recommend rescheduling the Order; – offer cancellation in accordance with the applicable Policies; or – decline to accept the Order. No guarantee is made that every special request can be accommodated.35. Emergency Substitutions
Certain operational situations require immediate decision-making in order to preserve product quality or avoid delivery delays. Without limitation, emergency substitutions may occur where: – flowers deteriorate unexpectedly during production; – flowers are damaged during transportation; – a supplier fails to deliver as scheduled; – delivery personnel are awaiting completion of the Order; – severe weather affects flower quality; – packaging is damaged before dispatch; – production defects are identified immediately before delivery; or – any other urgent operational circumstance arises. In such situations, Tuliba Clusiana may implement appropriate substitutions without delaying delivery whenever reasonably necessary to protect the overall quality and customer experience.36. No Customer Approval Required for Certain Substitutions
To preserve freshness, delivery schedules, and operational efficiency, Tuliba Clusiana may make substitutions without obtaining prior Customer approval where the substitution: – maintains or improves overall quality; – preserves the intended luxury presentation; – maintains the overall retail value of the Product; – does not materially alter the purpose, style, or occasion for which the Product was designed; and – is reasonably necessary to complete and deliver the Order. Where practicable, Tuliba Clusiana may notify the Customer of significant substitutions; however, prior notification or approval is not guaranteed and shall not be required where doing so would compromise product freshness, delivery commitments, or operational efficiency.37. Special Occasions
During periods of exceptionally high demand, including but not limited to: – Valentine’s Day; – Mother’s Day; – Eid celebrations; – Christmas; – New Year’s Day; – Graduation seasons; – International Women’s Day; – weddings; – engagement seasons; and – other major gifting occasions, flower availability may change rapidly. Customers acknowledge that substitutions may occur more frequently during these periods in order to maintain product quality, freshness, timely delivery, and Tuliba Clusiana’s luxury standards. The Company shall nevertheless make commercially reasonable efforts to preserve the intended emotional significance and presentation appropriate to the occasion.38. Same-Day Delivery Orders
Orders placed for Same-Day Delivery require immediate sourcing, production, and dispatch. Due to the limited preparation time available, substitutions may occasionally be necessary more frequently than for standard Orders. Customers placing Same-Day Delivery Orders acknowledge and accept that Tuliba Clusiana’s professional florists may make appropriate substitutions in accordance with this Policy whenever reasonably necessary to complete the Order within the promised delivery timeframe. The need to preserve delivery commitments shall be taken into account when selecting suitable substitute items.39. Customized Products
Customized, personalized, bespoke, and made-to-order Products are created according to the Customer’s individual specifications. Where substitutions become necessary due to circumstances beyond Tuliba Clusiana’s reasonable control, the Company shall make commercially reasonable efforts to preserve: – the customized concept; – the intended occasion; – the personalized design; – the artistic composition; – the luxury presentation; and – the overall value of the Product. Where a personalized component cannot reasonably be substituted without materially affecting the Product, Tuliba Clusiana may, where practicable, contact the Customer to discuss suitable alternatives. Where immediate action is required to preserve flower freshness or delivery commitments, the Company may exercise reasonable professional judgment in implementing appropriate substitutions consistent with this Policy.40. Corporate & Event Orders
Corporate Orders, weddings, private events, hospitality projects, exhibitions, luxury brand activations, and other large-scale floral installations often require advance sourcing, coordinated logistics, and specialized production.
Where substitutions become necessary for such Orders due to availability, quality considerations, supplier limitations, or unforeseen circumstances, Tuliba Clusiana shall make commercially reasonable efforts to preserve:
- the approved design concept;
- the event theme;
- the luxury presentation;
- visual consistency across all floral installations;
- the overall customer experience; and
- the contractual value of the Order.
Where a separate written agreement exists for a corporate or event Order, the provisions of that agreement shall prevail to the extent of any inconsistency with this Policy.
41. Product Images & Marketing Disclaimer
All photographs, videos, digital renderings, catalogs, brochures, social media content, advertisements, and other marketing materials published by Tuliba Clusiana are provided for illustrative purposes.
Because every floral arrangement is handcrafted using natural botanical products, Customers acknowledge that the delivered Product may differ from published images due to:
- natural flower characteristics;
- bloom maturity;
- seasonal availability;
- lighting conditions;
- photography techniques;
- screen calibration;
- artistic floral design;
- approved substitutions made under this Policy; and
- natural variations in flowers and plants.
Images displayed on the Website or social media represent the intended design style and overall presentation rather than an exact botanical reproduction.
Such differences shall not constitute defects, misrepresentation, or non-conforming Products.
42. Recipient Experience
Every substitution decision made by Tuliba Clusiana is guided by the objective of preserving the Recipient’s experience.
Whenever substitutions are required, Tuliba Clusiana shall make commercially reasonable efforts to ensure that the Recipient receives a Product that reflects the same emotional significance, luxury presentation, elegance, and gifting experience originally intended by the Customer.
The Company recognizes that floral gifts often commemorate important personal and professional occasions, and every reasonable effort shall be made to preserve the intended sentiment of the gift.
43. Regional & International Availability
Flower availability may differ between cities, regions, and countries due to local growing conditions, supplier networks, import regulations, transportation logistics, and seasonal factors.
Accordingly, Customers acknowledge that identical flower varieties, packaging materials, decorative elements, or luxury accessories may not always be available in every delivery location.
Where Tuliba Clusiana expands its services internationally or fulfills Orders outside its primary operating region, substitutions may become necessary to comply with local availability, applicable laws, customs requirements, or import restrictions.
The Company shall not be obligated to source flowers or materials that are unavailable, commercially impracticable to obtain, prohibited by law, or incapable of being delivered while maintaining acceptable quality standards.
44. No Refund Solely Due to Approved Substitutions
Where substitutions are made in accordance with this Substitution Policy and preserve the overall quality, luxury presentation, artistic integrity, intended purpose, and commercial value of the Product, such substitutions shall not, by themselves, constitute valid grounds for:
- cancellation;
- refund;
- replacement;
- price reduction;
- compensation; or
- rejection of the Product.
Nothing in this section shall limit or exclude any mandatory consumer rights available under applicable law.
45. Force Majeure
Tuliba Clusiana shall not be liable for any substitution, delay, modification, or inability to supply specific flowers, plants, containers, accessories, packaging materials, gifts, or decorative elements where such circumstances result from events beyond the Company’s reasonable control.
Such events include, without limitation:
- natural disasters;
- severe weather conditions;
- floods;
- fires;
- pandemics;
- epidemics;
- governmental actions;
- import or export restrictions;
- transportation disruptions;
- supplier failures;
- labor disputes;
- agricultural disease affecting flower production;
- utility failures;
- armed conflicts; or
- any other Force Majeure event.
Where reasonably practicable, Tuliba Clusiana will use commercially reasonable efforts to provide suitable substitute Products consistent with this Policy.
46. Fraud Prevention
Tuliba Clusiana reserves the right to investigate any complaint alleging improper substitutions where there are reasonable grounds to suspect fraud, abuse, false claims, attempted unjust enrichment, or misuse of the Company’s customer service policies.
In reviewing such claims, Tuliba Clusiana may rely upon lawful business records, including:
- production records;
- procurement records;
- supplier documentation;
- quality control records;
- inventory records;
- production photographs;
- packaging photographs;
- delivery photographs;
- delivery videos;
- courier documentation;
- GPS delivery records;
- communication logs;
- signed acknowledgements;
- CCTV recordings where available; and
- any other lawful operational evidence.

47. Right to Correct Errors

Where such an error materially affects a Customer’s Order, Tuliba Clusiana will notify the Customer as soon as reasonably practicable and, where appropriate, provide the opportunity to confirm, modify, or cancel the affected Order in accordance with applicable law.
48. No Waiver
The failure or delay of Tuliba Clusiana to exercise or enforce any right, remedy, or provision under this Substitution Policy shall not constitute a waiver of that right or any other right available to the Company.

49. Severability
