This Payment Policy explains the payment methods we accept, how payments are processed, when Orders become binding, and the respective rights and responsibilities of both Tuliba Clusiana and its Customers regarding all payments made through our Website or any authorized sales channel.
By placing an Order, you acknowledge that you have read, understood, and agreed to this Payment Policy.

1. Definitions

For the purposes of this Payment Policy:

This Payment Policy applies to every payment made through the Tuliba Clusiana Website and any authorized sales channel.

4. Payment Due

Unless otherwise agreed in writing by Tuliba Clusiana, full payment is required before Production,
sourcing, reservation of inventory, or delivery scheduling begins.

Failure to complete payment within the timeframe communicated by Tuliba Clusiana may result in:

  • Automatic cancellation of the Order;
  • Release of reserved inventory;
  • Cancellation of promotional pricing;
  • Cancellation of scheduled delivery; or
  • Price adjustments resulting from subsequent pricing updates.

5. Reservation of Inventory

Flowers, imported flowers, luxury packaging, accessories, delivery slots, promotional pricing,
production capacity, and inventory shall not be reserved until successful Payment Confirmation has been received.

Products displayed as available remain subject to prior sale until payment has been successfully completed.

6. Payment Authorization

Every payment remains subject to authorization by the applicable Payment Processor and the Customer’s financial institution.

Submission of payment information does not guarantee approval.

Tuliba Clusiana reserves the right to refuse any transaction that cannot be successfully authorized.

7. Payment Security

Tuliba Clusiana employs commercially reasonable technical and organizational measures to protect payment information.

Payments are processed through reputable third-party Payment Processors utilizing industry-standard security practices.

Tuliba Clusiana does not store complete payment card information except where expressly required by law.

Customers remain responsible for safeguarding their payment credentials.

8. Pricing & Currency

All prices displayed on the Website are shown in the currency specified during checkout unless otherwise stated.

Tuliba Clusiana reserves the right to modify prices before an Order has been accepted.

Price changes shall not affect Orders that have already received Payment Confirmation unless a pricing error exists under this Policy.

9. Taxes & VAT

Prices may include or exclude applicable taxes depending upon legal requirements and the information presented during checkout.

Customers remain responsible for any taxes, governmental charges, customs duties, banking charges,
or similar fees applicable to their transaction where required by law.

10. Payment Confirmation

An Order shall not be considered accepted solely because payment has been initiated. Order acceptance generally occurs only after: successful payment authorization; Payment Confirmation; verification where required; internal review where applicable; and issuance of an Order Confirmation by Tuliba Clusiana. Payment Confirmation does not guarantee immediate Production, Dispatch, or delivery.

11. Order Processing

Production or fulfilment will generally begin only after successful Payment Confirmation. Operational scheduling depends upon: Product availability; flower freshness; imported materials; production capacity; quality control requirements; courier scheduling; and other operational considerations. Tuliba Clusiana reserves the right to determine the sequence and timing of Order fulfilment.

12. Failed Payments

Where payment cannot be successfully completed, the associated Order shall not be processed until successful Payment Confirmation has been received. Failed payments may result from, without limitation: insufficient funds; expired payment cards; incorrect payment details; banking restrictions; payment gateway interruptions; network failures; suspected fraud; or any other circumstance beyond Tuliba Clusiana’s reasonable control. Tuliba Clusiana shall not be responsible for any loss of inventory, promotional pricing, delivery availability, or Product availability resulting from unsuccessful payment attempts.

13. Multiple Payment Attempts

To protect both Customers and Tuliba Clusiana from fraudulent or abusive activity, the Company reserves the right to temporarily suspend, reject, or investigate repeated unsuccessful payment attempts associated with the same Customer, payment method, device, IP address, or Order. Repeated failed payment attempts that reasonably indicate fraud, abuse, automated activity, or technical misuse may result in temporary suspension of payment privileges or Order processing.

14. Declined Transactions

Tuliba Clusiana reserves the right to decline any transaction where: payment authorization is refused; payment verification cannot be completed; fraudulent activity is reasonably suspected; inaccurate payment information has been provided; applicable law prohibits the transaction; or completion of the transaction would expose Tuliba Clusiana to financial, legal, reputational, or operational risk. Where a transaction is declined, any temporary authorization hold shall remain subject to the policies of the relevant Payment Processor or financial institution.

15. Partial Payments

Unless expressly approved in writing by Tuliba Clusiana, Orders must be paid in full before Production or fulfilment begins. Partial payments do not reserve: flowers; imported flowers; inventory; promotional pricing; production capacity; delivery slots; or luxury packaging. Failure to pay the remaining balance within the required period may result in cancellation of the Order without liability on the part of Tuliba Clusiana.

16. Installment Payments

Where installment payment options are made available through an approved Payment Processor or financial institution, such arrangements shall be governed exclusively by the terms of the relevant financing provider. Tuliba Clusiana does not determine: financing approval; eligibility; repayment schedules; interest rates; financing fees; or installment conditions. Any questions relating to installment payments should be directed to the applicable financing provider.

17. Cash on Delivery If Available

Where Cash on Delivery “COD” is offered, Customers agree to pay the full Order amount immediately upon delivery. Tuliba Clusiana reserves the right to: restrict COD availability; refuse COD for certain locations or Products; require advance payment for customized, imported, or high-value Orders; suspend COD privileges following repeated refused deliveries or failed COD transactions; or discontinue COD at any time without prior notice. Failure to complete payment upon delivery may result in cancellation of the Order and restrictions on future Orders.

18. Third-Party Payments

Where payment is made by a third party on behalf of the Customer, the Customer remains fully responsible for compliance with all applicable Policies, including this Payment Policy, the Terms & Conditions, and all other applicable Tuliba Clusiana Policies. Tuliba Clusiana shall not be responsible for disputes between the Customer and any third-party payer. Unless otherwise required by law, refunds relating to third-party payments shall generally be processed to the original payment method used for the transaction.

19. Business & Corporate Customers

Business Customers, corporate clients, hotels, restaurants, event organizers, government entities, and other commercial purchasers may be subject to separate payment terms, invoicing arrangements, credit terms, deposits, payment schedules, or contractual obligations agreed upon in writing. Where a separate commercial agreement exists, such agreement shall prevail over this Payment Policy to the extent of any inconsistency.

20. Electronic Invoices

Where required by applicable law or where offered by Tuliba Clusiana, electronic invoices may be issued for completed transactions.

Customers are responsible for ensuring that all billing information provided before payment is complete, accurate, and up to date.

Once an invoice has been issued, amendments may only be made where permitted by applicable law and Tuliba Clusiana’s accounting procedures.

Tuliba Clusiana shall not be responsible for delays, tax implications, or accounting issues resulting from inaccurate billing information supplied by the Customer.

21. Promotional Discounts & Coupons

Promotional discounts, coupon codes, promotional campaigns, vouchers, referral rewards, and special offers are subject to the terms communicated with each promotion.

Unless otherwise stated:
– only one promotional offer may be applied per Order;
– promotions cannot be combined;
– promotions have no cash value;
– expired promotions cannot be reactivated;
– promotions may be modified or withdrawn before Order acceptance; and
– promotional benefits remain subject to availability.

Eligibility for any promotion shall be determined solely by Tuliba Clusiana.

22. Promotional Abuse

Tuliba Clusiana reserves the right to cancel, refuse, suspend, or modify any Order where it reasonably believes that promotional offers, coupon codes, referral programs, pricing errors, loyalty rewards, or similar promotional mechanisms have been abused, manipulated, or used contrary to their intended purpose.

Examples include, without limitation:
– creating multiple accounts to obtain repeated promotional benefits;
– unauthorized distribution of private coupon codes;
– automated coupon abuse;
– exploitation of pricing errors;
– fraudulent referral activity; or
– any deceptive or abusive conduct.

Tuliba Clusiana may suspend future promotional eligibility without prejudice to any other lawful remedy.

23. Gift Cards & Store Credit

Where Gift Cards or Store Credit are offered, they may be used only in accordance with their applicable terms.

Unless otherwise required by applicable law:
– Gift Cards are non-refundable;
– Store Credit cannot be exchanged for cash;
– lost or stolen Gift Cards may not be replaced;
– expiration dates, where applicable, shall apply; and
– Tuliba Clusiana reserves the right to verify the validity of any Gift Card or Store Credit before acceptance.

Store Credit shall not constitute legal tender and may only be redeemed in accordance with the applicable terms.

24. Bank Authorization Holds

Certain financial institutions or Payment Processors may temporarily place an authorization hold on a Customer’s payment method before final settlement.

Such authorization holds are determined exclusively by the relevant financial institution or Payment Processor.

Tuliba Clusiana neither controls nor benefits from these temporary holds and accepts no responsibility for their duration, release, or administration.

Customers should contact their bank or Payment Processor directly regarding any authorization hold.

25. Duplicate Orders

Customers are responsible for carefully reviewing their Orders before completing payment.

Where duplicate Orders are placed accidentally, Customers should notify Tuliba Clusiana immediately.

Duplicate Orders shall be reviewed in accordance with this Payment Policy, the Cancellation Policy, and the Refund & Return Policy.

Where Production has already commenced, cancellation or refund eligibility shall be determined under the applicable Policies.

26. High-Risk Transactions

To protect Customers and the Company, Tuliba Clusiana reserves the right to perform enhanced verification for transactions reasonably considered high risk.

Factors that may indicate a high-risk transaction include, without limitation:
– unusually high Order values;
– inconsistent billing and delivery information;
– international payment methods;
– repeated failed payment attempts;
– suspicious purchasing patterns;
– anonymous technologies;
– unusual device activity; or
– any other circumstances reasonably indicating elevated risk.

Enhanced verification may include temporary suspension of Order processing until verification has been successfully completed.

27. Payment Processing Fees

Payments are processed through independent third-party Payment Processors. Where a refund results from a cancellation requested by the Customer, any non-refundable payment processing fees, gateway fees, transaction fees, banking charges, or similar charges retained by the Payment Processor and not refunded to Tuliba Clusiana may be deducted from the approved refund where permitted by applicable law. Where a refund results solely from an error attributable to Tuliba Clusiana, no such deduction shall apply unless otherwise required by law. Tuliba Clusiana shall never retain payment processing fees as profit.

28. Chargebacks

Customers are encouraged to contact Tuliba Clusiana before initiating any chargeback, payment reversal, or dispute with their bank or Payment Processor. Where a chargeback is initiated, Tuliba Clusiana reserves the right to submit all relevant lawful evidence supporting the transaction, including but not limited to: – payment confirmations; – Order records; – production records; – sourcing records; – quality control documentation; – photographs; – videos; – courier records; – GPS records; – communication logs; – delivery confirmations; and – any other lawful business records. Unjustified chargebacks may result in suspension of future Orders, promotional privileges, Store Credit, or Customer accounts where permitted by applicable law.

29. Fraud Prevention & Verification Requests

Tuliba Clusiana reserves the right to investigate any payment that appears suspicious, unusual, fraudulent, or inconsistent with normal purchasing behavior. To protect Customers and the Company, Tuliba Clusiana may: – request proof of identity; – request proof of payment; – verify billing information; – verify card ownership; – contact the issuing bank; – temporarily suspend Order processing; – refuse payment; – cancel an Order; or – take any other lawful action reasonably necessary to prevent fraud. Failure to provide requested verification within a commercially reasonable time may result in delay or cancellation of the Order.

31. Payment Errors

Despite reasonable efforts to maintain accurate and reliable payment systems, payment-related errors may occasionally occur.

Examples include, without limitation:
– duplicate charges;
– accidental overpayments;
– technical processing failures;
– incorrect transaction amounts;
– interrupted transactions;
– delayed payment notifications; or
– other unforeseen technical or administrative errors.

Customers should notify Tuliba Clusiana as soon as reasonably practicable upon becoming aware of any payment error.

Where a genuine error is confirmed, Tuliba Clusiana will take commercially reasonable steps to investigate and, where appropriate, correct the error in accordance with applicable law.

32. Pricing Errors

Tuliba Clusiana strives to ensure that all prices displayed on the Website are accurate.

However, pricing errors may occasionally occur due to technical, administrative, human, or system-related errors.

Where an obvious pricing error is identified before Order acceptance, Tuliba Clusiana reserves the right to:
– correct the displayed price;
– cancel the affected Order;
– issue a full refund of any payment received; or
– offer the Customer the opportunity to proceed with the Order at the correct price.

Tuliba Clusiana shall not be obligated to supply any Product at an obviously incorrect price that a reasonable Customer would recognize as erroneous.

33. Currency Conversion

Payments made using financial institutions operating in currencies different from the transaction currency may be subject to:
– exchange-rate fluctuations;
– foreign transaction fees;
– currency conversion charges;
– international banking fees; or
– similar charges imposed by third parties.

Tuliba Clusiana has no control over such charges and accepts no responsibility for exchange-rate differences or fees imposed by banks, card issuers, or Payment Processors.

34. Payment Processor Responsibility

Payment services are provided by independent third-party Payment Processors.

Accordingly, Tuliba Clusiana shall not be responsible for:
– payment gateway outages;
– banking network failures;
– payment authorization delays;
– technical interruptions;
– payment processor maintenance;
– cybersecurity incidents affecting third-party payment systems; or
– other circumstances beyond Tuliba Clusiana’s reasonable control.

Customers remain subject to the applicable terms and conditions of the relevant Payment Processor.

35. Payment Limits

Tuliba Clusiana reserves the right to establish minimum or maximum transaction values for specific payment methods, promotional campaigns, Products, geographical regions, or Customer categories.

Where payment limits apply, they will be communicated during checkout or through the applicable sales channel whenever reasonably practicable.

36. Anti-Money Laundering (AML)

Tuliba Clusiana is committed to complying with all applicable anti-money laundering, counter-terrorist financing, fraud prevention, and financial crime legislation.

Where reasonably necessary to comply with applicable legal obligations, Tuliba Clusiana reserves the right to:
– refuse a payment;
– suspend Order processing;
– request additional verification;
– report suspicious activity to competent authorities where legally required; or
– take any other lawful action necessary to comply with applicable legislation.

37. Export Controls & Sanctions Compliance

Where Products are sold, delivered, or paid for in connection with international transactions, Tuliba Clusiana reserves the right to refuse, suspend, or cancel any transaction where necessary to comply with:
– export control laws;
– economic sanctions;
– trade restrictions;
– embargoes;
– financial sanctions; or
– other applicable international legal obligations.

Customers represent that neither they nor any recipient of the Order is prohibited from participating in the relevant transaction under applicable law.

38. Force Majeure

Tuliba Clusiana shall not be liable for any delay, suspension, payment interruption, verification delay, refund delay, or inability to process payments resulting from events beyond its reasonable control.

Such events include, without limitation:
– natural disasters;
– floods;
– fires;
– epidemics or pandemics;
– government actions;
– armed conflicts;
– civil unrest;
– internet outages;
– telecommunications failures;
– banking disruptions;
– payment processor failures;
– power outages;
– cybersecurity incidents; or
– any other event beyond Tuliba Clusiana’s reasonable control.

Where reasonably practicable, Tuliba Clusiana will make commercially reasonable efforts to minimize the impact of such events.

39. Severability

If any provision of this Payment Policy is determined by a court or other competent authority to be invalid, unlawful, or unenforceable, such provision shall be deemed severed to the minimum extent necessary.

The remaining provisions of this Payment Policy shall continue in full force and effect.

40. Entire Agreement

This Payment Policy forms an integral part of the contractual relationship between Tuliba Clusiana and its Customers.

It should be interpreted together with the:

– Refund & Return Policy;
– Shipping & Delivery Policy;
– Privacy Policy; and
– Cookie Policy.

Together, these Policies constitute the complete framework governing payments and related transactions unless superseded by a separate written agreement.

42. Right to Correct Errors

43. Governing Law

This Payment Policy shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt.

Nothing contained in this Policy shall limit or exclude any mandatory consumer rights available under applicable Egyptian law, including Consumer Protection Law No. 181 of 2018, the Personal Data Protection Law No. 151 of 2020, and any other applicable legislation.

Any dispute arising out of or relating to this Payment Policy shall, unless otherwise required by applicable law, be subject to the exclusive jurisdiction of the competent courts of the Arab Republic of Egypt.

Before commencing legal proceedings, both parties agree to make commercially reasonable efforts to resolve disputes amicably through good-faith discussions.

This Payment Policy may be published in multiple languages for the convenience of Customers.

In the event of any inconsistency, ambiguity, or conflict between translated versions, the English version shall prevail to the fullest extent permitted by applicable law.

Translations are provided for convenience only and shall not affect the legal interpretation of this Payment Policy.
